Membership Rules

1. Membership of MASSA shall be classified as follows:
a. Members
b. Associate Members

2. All companies who hold a valid RPS Licence are eligible to apply for Membership. However, they can be admitted as an Associate member for the first 12 months and they will ‘automatically’ converted to ‘Full’ member after this period, unless specifically advised to the contrary.

3. Following Companies/organizations/Individual can apply for Associate members:
a. Shipowners/Ship Operators (DOC Holders) without RPS lic.
b. Maritime Training Institutes
c. DG approved Medical Practitioners (Individual or clinics)
d. Any other organization or individual with maritime interest, as maybe approved by BOD

4. Members of MASSA are eligible to nominate their senior employees as Directors on BOD and/or vote at AGM, SGM etc subject to them being fully familiar with ‘manning, training & certification of seafarers, matters related to MLC and have participated at different levels in the Industry.

5. Associate Members can, however, nominate their senior employees to attend an AGM or SGM as an observer only, with no voting rights.

APPLICATION FOR MEMBERSHIP

Application for Membership shall be made in prescribed Application Form , which is available in the MASSA Secretariat. It is also available on line at the website: massa.net.in under member area – (Application Form)

SUBMISSION OF APPLICATION FOR ASSOCIATE MEMBERSHIP

Application for memberships should be accompanied by following documents:

    1. Certificate of Incorporation of the Company
    2. A copy of Memorandum and Articles of the Company along with Company Master data from ROC.
    3. RPS licence (A company may submit application for membership without a RPS licence provided they submit an undertaking that the application for such Licence is in progress and will be submitted in 6 months’ time. If RPS licence is not submitted in 6 months, then the membership shall stand terminated forthwith). Full membership will be considered only after 12 months of submission of RPS licence
    4. Independent auditors report for the past year where it states that the audit has been conducted basis ‘ongoing concern’.
    5. For new companies, a statement of assets and liabilities to be submitted, certifying that IT returns not yet filed.
    6. All applications for Associate membership of MASSA, are to be ‘proposed’ and ‘seconded’ by MASSA members’ prior submission to MASSA Secretariat. Proposer must be a member of 5 years standing.
    7. The application must contain the name of senior management person who will represent the company at MASSA, alongwith the name of alternate representative, who will represent the company in the absence of the representative.
    8. Application must be accompanied by a cheque/demand draft in favour of MASSA towards entrance fee as stated on the application form.
ACCEPTANCE OF THE APPLICATION
  1. Upon the application (complete in all respects) being received by the Secretariat, the name of the prospective member will be circulated amongst the members seeking their ‘no objection’ within 2 weeks of circulation. If no response received then it will be deemed as acceptance. If any objection received, then the matter will be referred to a 3 member committee (Secretariat + 2 members, who are not the promoter or seconder for their recommendation)
  2. Thereafter, Secretariat of MASSA shall communicate to the applicant regarding their acceptance as an Associate member, or otherwise.

In the event the application is rejected, then the application documents alongwith entrance fee to be returned to the applicant

NOTIFYING THE NAME OF THE REPRESENTATIVE OF THE APPLICANT.

Each applicant shall notify in writing the name of the person who will represent it on the Association and for all purposes of the Association such a representative shall be deemed to be an Associate Member until such notification is withdrawn in writing.

NOTIFYING THE NAME OF ALTERNATE REPRESENTATIVE

Each applicant shall also notify in writing the name of a person who will represent it on the Association as an alternate representative in place of Representative mentioned in Rule 5 in the latter’s absence, and for all purposes of the Association an alternate representative shall be deemed to be the representative until such notification is withdrawn in writing by the member company.

CESSATION OF MEMBERSHIP OF THE REPRESENTATIVE / ALTERNATE REPRESENTATIVE.

Any representative / alternative representative notified under Rules 6 and 7 respectively will cease to be such a Representative or Alternate Representative of the member Company on his connection with the member company etc. being severed.

ADMISSION FEE

Each Associate Member on admission as such shall pay a one time Admission Fee of Rs.50,000/- or as may be prescribed by the Board of Directors from time to time.

MONTHLY SUBSCRIPTION

Each Member and Associate Member shall pay monthly administrative fees of the MASSA Secretariat subject to the minimum as may be prescribed by the Board of Directors from time to time as billed on the basis of the approved formula within 10 days of the receipt of the monthly bills. They shall also undertake to furnish to the MASSA Secretariat their recruitment figures of Indian Officers and Ratings from time to time on demands from the MASSA Secretariat. Taxes as applicable will be payable.

COMMITMENT TOWARDS TRAINING OF SEA-GOING PERSONNEL

Each Member and Associate Member shall have a commitment towards training of their sea going personnel and towards this end, make contributions to the Maritime Training and Research Foundation set up by the Association, at the rates prescribed by the Board of Directors from time to time.

MEMBERSHIP OF OTHER SIMILAR ORGANISATION/S
  1. At the time of his initial admission to the Association, each Associate member shall make a declaration that he is not a member of another organisation with similar aims and objects as that of MASSA and that whilst he continues to be member of MASSA , he shall not become a member of any other such organisation.
  2. He shall also give an undertaking that he has settled all his dues pertaining to the membership, training levy etc. due to such organisation till the date of his resignation and/or acceptance of his resignation by such organisation.
COMMITMENT TO ABIDE BY GOVERNMENT. RULES AND REGULATIONS ABOUT EMPLOYMENT OF INDIAN MERCHANT NAVY PERSONNEL.

Each member and Associate Member shall abide by all Govt. Rules, Regulations and Orders etc. pertaining to the employment of Indian Maritime Personnel or otherwise.

RESIGNATION

A member desiring to resign from the membership of the Association, shall give three calendar month’s notice in writing to the Secretary of the Association regarding his intention to do so.

DISQUALIFICATION

A member or the Associate Member shall cease to be a member or the Associate Member, as the case may be of the Association;

  1. If he fails to pay the monthly subscription charges of the Association and/or contribution to the Maritime Training and Research Foundation due from him for a period of 6 months;
  2. If he, if an individual, becomes an undischarged insolvent or his adjudged by a competent authority to be of an unsound mind or is convicted of an offence involving moral turpitude;
  3. If, in the case of the company, agents etc. it is dissolved or adjudicated insolvent, or in the case of a firm, if the partners are convicted of an offence involving moral turpitude;
  4. If the Board of Directors pass a resolution removing him from the membership.
REMOVAL FROM MEMBERSHIP .

The Board of Directors may pass a resolution removing any member or Associate member if he commits any act openly or covertly or pursues any conduct directly or indirectly, in contravention of the objects or the rules of the Association or which is detrimental to its prestige or is in any way injurious to its interests and if the Board deems it necessary and / or desirable to remove him from its membership.

PRIVILEGES
  1. A Member of the Association shall be entitled –
    1. to be elected as an office bearer or a member of the Board of Directors of the Association or a representative of the Association to any other Body, Committee, Board etc. in India which invites the Association to send its representative.
    2. to vote at all meetings of the Association on any matter put to vote of the members present or on matters referred to the vote of the members by a circular etc.
    1. An Associate Member of the Association shall be entitled to be elected as a representative of the Association to any other body, committee, Board etc. in India which invites the Association to send its representative. However, he shall not be entitled to be elected as an office-bearer or a Member of Board of Director of the Association.
    2. An Associate Member of the Association shall not be entitled to vote at any meeting of the Association or on any matter put to / referred to for vote of the Members by circular etc. or otherwise.
EFFECTIVENESS OF THE RULES

These Rules shall remain effective and apply to all members of the Association until such time that any or all of them are modified or changed or deleted by a three fourth majority of the members present at a meeting as the case may be.
